We recently advised CommScope on the Irish-law aspects of US fibre optic specialist Amphenol Corporation’s acquisition of CommScope’s Connectivity and Cable Solutions (CCS) business, a transaction valued at approximately US$10.5bn.
The acquisition adds significant fibre optic interconnect capabilities across AI, data centre applications, IT datacom and communications networks and brings approximately 20,000 CCS employees into Amphenol.
Our Corporate team, led by partner Eoin Ryan and including associates Tristan Meyer and Ciaran Kenny, supported Baker McKenzie on the corporate aspects of the transaction.
Our Finance & Capital Markets team, led by partner Andrew Traynor and supported by tax consultant Padhraic Mulpeter, of counsel Seána Donaghy and associate Karen O’Connell, advised on certain financing aspects of the transaction, with the proceeds being used to repay existing debt and redeem certain preferred equity.
Eoin Ryan commented: 'We were pleased to support Baker McKenzie on the Irish corporate aspects of this complex cross-border carve out. The matter showcases our experience on large technology infrastructure transactions and our ability to bring clear Irish law insight to fast moving, high-value deals.'
Andrew Traynor added: 'We were delighted to collaborate with the parties and their counsels to successfully close such an impactful transaction for both businesses. Congratulations to everyone involved. This multi-layered, cross-jurisdictional transaction underlines the depth and sophistication of our Irish Corporate and Finance & Capital Markets practices, as well as our focus on delivering practical, client-centred solutions.'
