We have acted as Cayman Islands legal counsel to Mason Capital Management LLC and Pearlstone Alternative (UK) LLP in connection with their acquisition of Petrofac Emirates, Petrofac's core Engineering & Construction business in the United Arab Emirates (UAE).
The transaction completed following the satisfaction of all required conditions and approvals, and positions Petrofac Emirates as a self-sustaining business with no funded debt on its balance sheet.
Neil McDonald, partner and head of our Corporate and M&A group in London, said: 'We are pleased to have advised Mason Capital Management and Pearlstone Alternative on this significant transaction which creates a platform for future growth across the UAE and wider MENA region under the new ownership structure. It was a pleasure to work alongside our clients and the wider adviser team to bring the transaction to a successful completion'.
The transaction further demonstrates our strength in supporting sponsors, investors and corporate clients on complex cross-border M&A and private equity transactions involving Cayman Islands structures.
Our team was led by Neil McDonald, who was supported by London-based Regulatory partner Benjamin Twidle and Corporate and M&A senior associate Tom Esler and associate Michail Varnis.
