We acted as Jersey counsel on Goodwin PLC's £1.1bn sale of a substantial part of its mechanical engineering division to Cerberus Capital Management LP, supporting Ashurst Perkins Coie on the transaction.
We advised on the Jersey aspects of the transaction, including the establishment of the Jersey target company and the subsequent internal reorganisation steps and third-party transaction documentation involving the target.
Our team was led by partner Dilmun Leach and senior counsel Kevin Grové, assisted by associate Tom Frost. Banking & Finance partner Jon Le Rossignol and associate Tom Morris also advised on discrete financing matters.
Dilmun said: 'This transaction involved a complex carve-out and sale process, and we were delighted to have assisted Goodwin PLC and APC with the Jersey legal aspects.'
Kevin said: 'Transactions of this nature demonstrate the important role Jersey structures continue to play in sophisticated cross-border M&A activity. We are proud to support clients and their advisers on complex international transactions, providing practical and seamless Jersey law advice throughout the deal lifecycle.'
