Our Finance & Corporate team has acted as British Virgin Islands (BVI) counsel to the Central America Bottling Corporation in connection with an US$875m senior notes offering and concurrent cash tender offer.
The Central America Bottling Corporation, CBC Bottling Holdco, S.L.U. and Beliv Holdco, S.L.U., as co-issuers, completed a Rule 144A and Regulation S offering of US$875m aggregate principal amount of 6.950% Senior Guaranteed Notes due 2036.
Alongside the offering, the co-issuers completed a concurrent cash tender offer for US$400m of their outstanding 5.250% Senior Guaranteed Sustainability-Linked Notes due 2029.
The transactions enabled the co-issuers to refinance existing debt, extend their maturity profile and enhance their financial flexibility through a single financing exercise.
We acted as counsel to the Central America Bottling Corporation, a BVI-incorporated issuer. The team was led by office managing partner Matthew Cowman, with assistance from partner Alex Drysdale and senior associate Alfida Cruz, all based in the BVI.
Hogan Lovells and Cadwalader acted as lead international counsel on the cross-border transaction, with teams across New York, Miami, Madrid and Singapore.
We congratulate the Central America Bottling Corporation and all parties involved on the successful completion of the transaction.
