Ian advises on Irish and EU legal and regulatory aspects of the establishment, financing, operation and management of Irish special purpose vehicles and other investment vehicles which acquire a broad range of asset classes (loans, mortgages, receivables, distressed assets, insurance products etc) around the world. Ian also advises on a wide range of finance, direct lending and general corporate matters, distressed investment and other bespoke structured product transactions. Ian has acted for various European, US, and Asian lenders on a number of complex and innovative fund financing solutions including equity bridge facilities, acquisition financings, capital call facilities and NAV based margin loans. Representative Transactions include:

  • Acting as Irish counsel to a major US Bank in respect of a US$400,000,000 capital call facility to certain Irish regulated funds and offshore feeders;
  • Acting as Irish counsel to a major UK bank on multiple synthetic securitisation of portfolios of social housing loans, corporate loans, SME loans and agricultural mortgages;
  • Acting as Irish counsel to a major Asian Bank in respect of a US$100,000,000 capital call facility to certain Irish funds and offshore feeders;
  • Acting as lead counsel to a leading US investment manager in connection with the establishment of an Irish law governed US$500,000,000 note issuance platform and as Irish counsel in connection with a subsequent US$90,000,000 subscription line financing provided by a major international bank;
  • Acting as lead counsel to a leading US investment manager in connection with the establishment of an Irish law governed US$400,000,000 note issuance platform;
  • Acting as Irish counsel to a major UK Bank in respect of a €195,000,000 asset backed facility to an Irish group consisting of regulated and unregulated funds;
  • Acting as lead counsel to a leading Asian alternative investment manager in relation to the establishment of an Irish law governed US$10 billion ABS programme backed by Chinese listed securities. This was a landmark transaction and the first of its kind both in Ireland and the People's Republic of China;
  • Acting as issuer counsel and advising a major European bank in connection with a DKK 5.96 billion securitisation of its Danish auto-loan book through an Irish special purpose vehicle and acting as listing agent for the notes which listed on GEM. This was the first ever Danish auto loan securitization;
  • Acting as issuer counsel and advising a major European bank in connection with a €480,000,000 Norwegian auto loan securitisation which listed on the MSM;
  • Acting as lead counsel to a UK alternative asset manager in connection with the issuance of €300,000,000 Senior Secured Notes and £300,000,000 Senior Secured Notes by an Irish special purpose vehicle which listed on GEM. The note proceeds have been used to acquire a diverse portfolio of European commercial real estate loans backed by core / core+ collateral; and
  • Acting as issuer counsel to a major European reinsurer on the issuance of a €190,000,000 catastrophe bond through an Irish special purpose reinsurance vehicle – this was the first catastrophe bond providing indemnity protection against Europe windstorm risks to be offered in a Rule 144A offering and the first European windstorm indemnity cat bond transaction to use a third-party risk modeller for risk analysis.​

Prior to joining Walkers, Ian was a member of the Banking and Finance group of a leading Irish law firm. ​
