Shaela Rae joined Walkers' Bermuda office in 2021 where she is a senior associate in the Corporate, Finance, Funds & Insurance Group. Shaela's practice encompasses M&A work, FinTech, corporate structuring, joint ventures, public listings, take privates and buy-outs.
Shaela offers legal advice in relation to the formation, structuring, licensing, ongoing operation and regulatory compliance of all types of Bermuda entities as well as alternative risk transfer structures, such as insurance linked securities.
She brings particular expertise in advising FinTech businesses in Canada and generally, including advising in relation to industry-specific corporate governance using blockchain-based technologies, raising capital (ICOs, ITOs, and traditional equity raises), and in navigating the complex and evolving Canadian regulatory framework for digital and crypto assets.
Shaela also frequently advises on debt/equity fund raising as well as secured loan financing including export credit supported financing, capital markets financing, on and off-balance sheet transactions and for assets that include commercial and private aircraft and ships.
Having practiced in Canada at two award-winning onshore law firms throughout her career, Shaela brings a diverse range of North American corporate and transactional experience into the Bermuda jurisdiction.
