Session 2 - Minority Shareholder Rights
Shareholder disputes are not uncommon. Capital injection from institutional investors may sideline the founder of a start-up, joint ventures can fall into dispute and family members in business together can fall out. These minority shareholders may find themselves bound to each other and unable to exit. Our webinar will explore the options different offshore laws grant them, and will discuss various available remedies.
In this webinar, we will cover:
- Introduction to minority rights - examples of conduct that is prejudicial to the minority – what to do?
- Minority shareholder rights in Bermuda, BVI and the Cayman Islands
- Available remedies
- Interlocutory relief
- Final relief
- Interaction with directors' duties and the exercise of director power for an improper purpose – what remedy for the minority? Howard Smith Ltd v. Ampol Petroleum Ltd [1974] UKPC 3 explained.
Walkers is committed to offering a flexible choice of channels for our valued clients and contacts to access the latest offshore updates and know-how. These webinars will complement our existing Walkers Academy sessions and the many other in-person programmes offered throughout the region.
