Walkers Advises Apex Group on Major Acquisitions

International law firm Walkers is pleased to have advised leading fund services provider Apex Group Ltd. (“Apex”) on two major acquisitions in the Channel Islands and Ireland.

Walkers recently advised Apex in relation to the successful closing of the financing and acquisition of Corporate and Private Client Services (“CPCS”) and Throgmorton businesses of Link Group’s Asset Services division, a multi-jurisdiction corporate and private client services business.

The CPCS transaction comes in quick succession to the recent acquisition by Apex of IPES in respect of which Walkers were also engaged.

The deals were led by Jersey partners Jonathan Heaney and Alexandra Corner, Guernsey Partner, Sam Shires and Senior Counsel Kim Paiva, Dublin partners Noeleen Ruddy and Brendan O'Brien. Supporting the Channel Islands team were Senior Associate Bella Ward and Associates Mark Finlayson, Meg McAuley and James Shannon. These transactions showcased the depth of Walkers' seamless multi-jurisdictional offering with regards to complex cross-border leveraged M&A deals.

Wilkie Farr Gallagher's London and New York offices acted as lead deal counsel.

The acquisitions increase Apex’s assets under administration to over $650 billion and significantly enhance its breadth of service offering in both the fund and corporate administration markets globally and on a local scale across the Channel Islands and Ireland.

Peter Hughes, Founder & Chief Executive Officer Apex Group commented:-

I am very proud of what we have accomplished at Apex. The addition of CPCS and Throgmorton solidifies the final pillar of our three core service segments (Fund Solutions, Financial Solutions and Corporate Solutions) through integration of their well-established corporate services and private clients offering. We are now able to offer our clients a truly comprehensive solution across the full ecosystem of third party providers global asset managers and allocators would usually use.

Walkers' Jersey Managing Partner Jonathan Heaney said:-

"We would like to congratulate Apex on the successful closing of the acquisition of the Corporate and Private Client Services and Throgmorton businesses of Link Group's Asset Services division. It has been a pleasure working on such an important project for Apex in conjunction with colleagues from Guernsey and Ireland as well as the Willkie Farr team. Walkers is ideally placed to assist on these types of deals, particularly as these businesses often have a presence in multiple jurisdictions. We look forward to continuing to assist in this market."
