Ireland Update: Corporate Governance – Making board decisions without meeting in person

This note sets out matters for companies to consider when its directors are making decisions and/or holding board meetings when unable to meet in person.

The Companies Act 2014, provides for a number of mechanisms available to directors of Irish-registered companies to hold board meetings or make decisions at board level in the absence of the ability to meet in person.
