Walkers Bermuda Acts on $2.6 Billion Aspen Insurance Acquisition

Walkers Bermuda* has advised an affiliate of Apollo Global Management, LLC (NYSE: APO), a leading alternative investment manager, on the US$2.6 billion cash acquisition of Aspen Insurance Holdings Limited (NYSE: AHL), a leading global specialty insurance and reinsurance provider, operating in Australia, Bermuda, Canada, Ireland, Singapore, Switzerland, the United Arab Emirates, the UK and the U.S.

The Walkers team, comprising Jonathan Betts, Head of the Corporate, Finance and Funds Department, and associates Rachel Nightingale and Ben Green, worked alongside lead counsel, Sidley Austin LLP, advising on the Bermuda law aspects of the acquisition, which was effected by way of a merger under the Bermuda Companies Act.

Walkers advises Stafford Capital Partners on take-over of Phaunos Timber Fund Limited

Walkers' Guernsey office is advising Stafford Capital Partners on its take-over of Phaunos Timber Fund Limited. The take-over has been implemented by way of an all-cash offer of US$0.52 per Phaunos share, valuing the company at approximately US$259.1 million.

Stafford Capital Partners has US$5.4 billion under management and advice from over 75 institutional investors across Europe, the United States, Canada and Australia, providing investment management and advisory services in alternative assets. Founded in 2000, Stafford Capital Partners has specialist investment teams in agriculture and food, credit, infrastructure, private equity, sustainable capital, timberland and venture capital.

The Walkers Guernsey team is led by senior counsel, Kim Paiva assisted by associate Juliana Atere. Ashurst LLP are advising Stafford Capital on matters of English law.

Walkers Bermuda Acts as Counsel to DrumG in $6.5 Million Investment

Walkers Bermuda has acted as Bermuda counsel to DrumG in relation to a $6.5 million equity investment made by ConsenSys, a blockchain software technology company founded by Joseph Lubin based in Brooklyn, New York. The investment comes as a Series A minority funding round in which ConsenSys is the sole participating investor.

Bermuda-based DrumG, co-founded by Tim Grant, is a company founded to help enterprises build real-world applications on a wide range of interconnected ledgers. As part of the investment, Lubin will sit on DrumG's board and DrumG itself will have a "significant presence" within the ConsenSys financial technology ecosystem, in which there are more than 50 projects being managed.

The Walkers Bermuda team was led by partner Jonathan Betts with assistance from associate Rachel Nightingale.

Walkers advises on Farfetch $7.6B IPO

Walkers is delighted to have acted as Cayman Islands counsel, alongside Latham & Watkins' New York and London offices, on the recent Farfetch New York Stock Exchange IPO. Farfetch, which is valued at more than $7.6 billion, operates a modular end-to-end technology platform that allows people in 190 countries to have access the world’s best luxury fashion brands and boutiques.

The Latham & Watkins capital markets team was led by New York partners Marc Jaffe and Ian Schuman, and London partner Joshua Kiernan. Walkers partners Rolf Lindsay and Andrew Barker advised on the Cayman Islands aspects. The transaction also involved a significant pre-IPO reorganisation, in which Walkers assisted the corporate team at Taylor Wessing in London.

The use of a Cayman-incorporated company to list a London-headquartered enterprise on the New York and Nasdaq exchange marks a growing trend. The similarity of Cayman corporate law to English law, and the certainty afforded by its sophisticated legal environment, allows businesses based in London to exploit the access to capital and flexible approach to corporate structuring that a listing in New York affords.
