Advising Sapiens on $2.5bn acquisition by Advent

We are advising Sapiens International Corporation N.V. (NASDAQ: SPNS) (TASE: SPNS) (Sapiens), a global leader in intelligent SaaS-based software solutions to the insurance industry, on their $2.5bn acquisition by Advent, a leading global private equity investor.

Working alongside Latham & Watkins as US counsel and Meitar as Israeli counsel, our multi-specialist team provided Sapiens with seamless, full-service advice on the Cayman and Guernsey law aspects of the transaction.

Under the terms of the transaction, which will be implemented by means of a Cayman law governed statutory merger and has been unanimously approved by Sapiens' board of directors, Sapiens’ shareholders will receive $43.50 per share in cash, representing a premium of approximately 64% over Sapiens' undisturbed closing share price of $26.52 on 8 August 2025 and a premium of approximately 51% to both the 30-day and 60-day volume-weighted average price as of 8 August 2025.
 
Upon completion of the transaction, Sapiens' shares will no longer be publicly listed and Sapiens will become a privately held company.
