Representing DerbySoft Holdings Limited on its majority stake acquisition by Juniper Group

DerbySoft Holdings Limited, the ultimate parent company of DerbySoft Inc., a technology company that builds connectivity, marketing and content solutions for the hospitality industry, has entered into a definitive agreement with Juniper Group, an operating group of Vela Software within Constellation Software Inc. (TSX: CSU), pursuant to which Juniper Group will acquire a majority interest in DerbySoft. Key executive team members of DerbySoft will retain a minority stake in the company and will enter into a shareholders' agreement with Juniper Group to govern DerbySoft following completion of the acquisition. The transaction remains subject to customary closing conditions, including regulatory approvals.
