We advised Advantage Partners, a long established Japan focused private equity firm, on the formation and the successful final close of its latest Fund VIII Series, which reached its hard cap of ¥300 billion (near US$1.9 billion) on 29 May 2026.
Advantage Partners' Fund VIII Series represents the continuation of their longstanding presence in the Japanese buyout market and attracted a diverse range of institutional investors. A majority of commitments came from investors who had previously committed to prior funds, and the aggregate demand for the Funds significantly exceeded both the ¥250 billion (near US$1.6 billion) target and the ¥300 billion (near US$1.9 billion) hard cap.
The Funds will target opportunities arising from Japan’s ongoing corporate transformation, including founder succession, corporate carve-outs, and public-to-private transactions. Advantage Partners will partner with management teams to drive value creation and support adaptation to structural shifts in the Japanese economy.
Seamless Cayman Islands fund formation, regulatory and professional services support
Our integrated team delivered end to end Cayman Islands advice to support an efficient and well coordinated fund launch.
Walkers advised through a cross-practice team led by Ally Lam, with support from James Gaden and Henry Williams (Investment Funds & Corporate); Natalie Curtis, supported by Jason Hung and Bonny Louw (Regulatory & Risk Advisory); and Monique Bhullar, Thea Maitland and Chloe Haddow (Private Capital & Trusts), based in the Cayman Islands. The team worked alongside Walkers Professional Services to provide registered office, trustee and AML support.
Commenting on this transaction, Ally said: ‘The successful closing of this fund is a testament to their strong track record and the confidence investors have in Advantage Partners. It is an honour to assist them in launching this flagship fund series and their other Cayman fund structures.’ Henry added: 'This transaction reflects strong investor demand and highlights the importance of a coordinated approach to fund formation and regulatory support for a fund of this scale.'
We worked closely with Advantage Partners’ lead counsel, Simpson Thacher & Bartlett LLP, advising on all Cayman Islands law aspects of the transaction. This included private fund formation, review of fund documentation, and support with the fund launch and private fund registration. Our coordinated approach helped ensure the process was efficient, commercially focused and aligned with Cayman Islands regulatory requirements and market practice.
