We acted as Bermuda counsel to Atlantic Aviation in connection with the strategic partnership between Apollo-managed funds and KKR-managed funds relating to Atlantic Aviation, one of the largest private aviation infrastructure platforms in the United States. Under the transaction, Apollo-managed funds acquired a significant interest in Atlantic Aviation, while KKR-managed funds remain a substantial shareholder.
The transaction values Atlantic Aviation at nearly US$10 billion and represents one of the most significant investments in the private aviation infrastructure sector in recent years.
We advised on the Bermuda law aspects of the transaction, supporting the implementation of a sophisticated ownership and investment structure involving Atlantic Aviation's Bermuda entity and operations. Working alongside US counsel and other advisers, our team advised on the Bermuda corporate and transactional matters necessary to facilitate the strategic investment and ensure the successful execution of a complex, multi-jurisdictional transaction.
The mandate highlights Bermuda's continued importance as a premier jurisdiction for global infrastructure investments, private capital transactions and long-term strategic partnerships involving market-leading businesses.
Atlantic Aviation is one of the largest fixed-base operator (FBO) network in the United States, providing critical aviation infrastructure and services across a nationwide portfolio of airports. The transaction further strengthens Atlantic Aviation's position for continued growth and reflects sustained institutional investor confidence in high-quality infrastructure assets and essential transportation networks.
