Aimee Carroll-Hewitt

Aimee advises clients in all industries and sectors on a wide range of corporate matters, with a particular focus on M&A and Equity Capital Markets transactions.

Her practice includes both domestic and cross-border mergers and acquisitions, disposals, takeovers, listings, offerings and other fund-raising transactions, investments, share issuances, restructurings, governance matters and general corporate advisory. She regularly acts for publicly listed entities, including those listed on the New York and London stock exchanges, as well as private-equity houses, financial institutions and other corporates. 

Experience and recent work

Before joining Walkers, Aimee was at Ashurst LLP in London for over 10 years, where she specialised in advising a range of corporate clients and investment banks on M&A, corporate finance and capital markets transactions, with a particular focus on public company takeovers and advising listed companies on corporate governance matters.

Aimee's experience includes advising: 

• A US based company, on its £7.8 billion sale of a UK electricity distribution group, by way of an auction sale process.
• A UK listed REIT on its £3.9 billion all share offer for an LSE Main Market listed UK REIT, creating the fourth largest UK REIT.
• A food service company on its recommended (but initially hostile) all-cash offer for a Dutch incorporated and LSE Main Market listed food delivery company. 
• An investment bank on the approximately £703.1 million recommended cash offer for an LSE AIM listed company by certain private equity funds, as cash confirmation counsel. 
• The underwriting banks in connection with a UK REIT's equity placing which, together with a retail offer, raised gross proceeds of approximately £300 million.
• A US fund listed on the LSE Main Market, on the US$32m disposal of one of its portfolio companies. 
• An Australia-based mining company, on its cornerstone subscription for shares in an LSE AIM listed company.
• A bank on the approximately £342 million recommended cash offer for an LSE Main Market listed company, by certain private equity funds, as cash confirmation counsel.
