Best Property Deal – China Offshore: Shimao Group Holdings’ debt restructuring via Scheme of Arrangement sanctioned by the High Court of Hong Kong
We have advised the co-ordination committee of lenders (the “CoCom”) on the successful restructuring of over US$11.5 billion in offshore debt for Shimao Group Holdings Limited ("Shimao").
Completed through a court-sanctioned Hong Kong scheme of arrangement, this milestone transaction marks one of the most complex and prolonged restructurings in the Chinese real estate sector. It paves the path for creditors and stakeholders resolving multi-jurisdictions challenges in the Greater China property market.
Our team, led by partner Shirleen Tan with support from senior associate Helena Chu and legal manager Carina Chan, advised on all the Cayman Islands and British Virgin Islands law aspects of the transaction. We collaborated closely with A&O Shearman and other advisors to deliver a seamless, multi-layered restructuring process, including several project and asset-based bank debt refinancings.

Best Infrastructure Deal – Hong Kong SAR: Goodman Hong Kong Data Centre Partnership’s HK$9.03 billion green loan
We have advised the lenders on three parallel financings totalling HK$9.028 billion (US$1.15 billion) to support the establishment of Goodman Hong Kong Data Centre Partnership (GHKDC), one of Asia's largest data centre focused investment platforms.
The newly launched US$2.7 billion GHKDC, consisting of four fully stabilised and two data centres under development, stands as the only private institutional investment platform dedicated exclusively to Hong Kong’s data centre market. The platform's 325-megawatt seed portfolio includes six assets covering 2.3 million square feet.
Our Hong Kong-based team, led by partner Paul Aherne, senior associate Charisa Yeung and legal manager Carina Chan, advised on all Cayman Islands and British Virgin Islands law aspects of the transaction and worked alongside the lenders' lead counsel, A&O Shearman.

Best Private Credit Deal – Singapore: Ares’ secondary market transaction with Omni Bridgeway
Our team acted as Cayman Islands counsel to Omni Bridgeway on the establishment and launch of a continuation fund (Fund 9), in relation to Omni Bridgeway's sale of a 70% interest in Fund 9 to Ares Management Corporation. Fund 9 is the first continuation fund, and one of the largest secondary markets transactions in both scope and size in the legal finance industry.
Our team, led by Investment Funds & Corporate partner Tania Toh and counsel Sze Min Lim, supported by Regulatory & Risk Advisory partner Natalie Curtis and senior associate Simone Burnett Lanauze, worked closely with Omni Bridgeway's lead counsel, DLA Piper.
Highly Commended Infrastructure Deal – Malaysia: Credit facilities exceeding $900 million granted to Yondr Group
We are pleased to have acted as British Virgin Islands legal counsel to Yondr Group, a global leader, developer, owner and operator of hyperscale data centres, in securing financing of over US$900 million to support the construction and initial operations of Yondr’s 98MW data centre development in Johor, Malaysia.

Highly Commended Innovative Deal – China Offshore: Bilibili’s $690 million convertible senior notes and SEC registered delta placement
We have advised Bilibili Inc. on its offering of US$690 million convertible senior notes and concurrent offering of 10,281,240 Class Z ordinary shares. The company plans to use the net proceeds from the notes offering to enhance its content ecosystem to facilitate user growth, facilitate IP asset creation, and unleash its inherent potential.
Our Hong Kong-based team, led by partner Mark Cummings, partner Kevin Ho and senior associate Beverly Lui, advised on all Cayman Islands law aspects of the transaction and worked alongside the issuer's lead counsel, Skadden, Arps, Slate, Meagher and Flom LLP, on this deal.
